also employs a number of highly trained associates and other support

Although only recently established, the Firm has quickly created a

securities, mergers and acquisitions, joint ventures and general

Banking
The
Firm advises a number of prominent local and international banks and
financial institutions. The firm advises both lenders and borrowers
on aspects of structuring, negotiating and documenting financing
transactions. The firm also advises on banking regulation and
supervision, finance leasing arrangements, secured commercial
lending, trade, project and corporate financing arrangements, equity
and loan finance and the taking, enforcement and realisation of
security interests.
Corporate/Mergers &Acquisitions
The
Firm is equipped to advise on regulatory and licensing matters
relating to different sectors and industries, mergers and
acquisitions, private and public equity. The Firm also specializes
in preparing and advising on agency, distribution, franchising and
all other forms of commercial agreements; mergers, acquisitions and
disposals; joint ventures and private equity flotations and security
issues; and employee arrangements.
Litigation & Alternative Dispute Resolution
The
Firm’s litigation lawyers have extensive trial experience in both
commercial and civil cases. The Firm’s partners have in the past
acted in matters involving government bodies, major manufacturing
and utility companies and special interest groups. The Firm is
experienced in handling a wide variety of civil and criminal cases
including suits involving the enforcement of contracts, actions for
the recovery of damages based on contract and tort, intra-corporate
disputes and in pursuing the judicial enforcement of intellectual
property rights.
The
Firm is committed to thoughtful exploration of alternatives to
litigation such as conciliation, arbitration and mediation where
such alternative is practical and in the considered best interests
of the client.
Intellectual Property
The
Firm is regularly called on to advise on matters of trademarks,
patents, copyrights, and trade secret protection.
The
Firm also undertakes registration of patents trade and service marks
and industrial designs with both the Kenya Industrial Property
Institute and the African Regional Industrial Property Organization.
In the event of dispute, the Firm also provides intellectual
property litigation services to handle matters such as: licensing
and royalty disputes, trademark infringement, copyright
infringement, patent infringement, information technology and
software disputes and internet and domain name disputes.
Tax
The
firm’s advocates work closely with tax houses in Kenya in developing
and implementing creative tax solutions for complex mergers and
acquisitions, private equity, international transactions, joint
ventures including equipment leasing and project finance and
property transaction.
Private Client Matters
The
firm undertakes many transactions for private clients including
acting for a number
of high net worth individuals on estate planning and inheritance
matters. The firm advises and drafts wills and trusts and also acts
for executors in obtaining probate and also advises trustees
generally on their rights and obligations.

Our
professional liability policy is with AIG Kenya Insurance
Limited (Policy No. 030003197). Our aggregate limit of liability
in any one period of insurance is currently set at Kshs.100,000,000/=
Client Satisfaction &
Legal Fees
At Kemboy & Company, we
strive to attain the highest possible level of client satisfaction
as we believe that this is the best recommendation for the work of
any professional service provider. At the time that we take
instructions we would endeavour to advise on the stages and
timelines that we consider that the transaction will reasonably
entail. Whilst it is our objective to meet all client deadlines and
otherwise deal with every matter as expeditiously and efficiently as
possible, factors beyond our control may sometimes affect the speed
with which a transaction is progressed. In the event of any
misunderstandings, we would ask that clients speak to the partner in
charge of their work, and if the matter cannot be resolved, the
client is invited to contact our Managing Partner, who will then
look into the matter and appropriately advise.
Our fees are calculated
as prescribed by the Advocates Remuneration Order. For conveyancing
and security transactions we would wish to adhere to the statutory
scale of charges; however in the case of large-scale transactions,
these may be subject to negotiation.
On commercial and
litigation matters, given the fluid nature of such transactions it
is often impracticable to give a firm estimate on the amount of fees
likely to be incurred at the commencement thereof. In such
circumstances, we would provide a quote based on our previous
experience of similar transactions that would provide a guideline on
the likely level of expense.
We would also as a
matter of practice request for a reasonable deposit to be paid prior
to commencement of all client instructions. Value Added Tax
(currently at the rate of 16 %) is payable on our fees and on all
VAT’able disbursements and this would be reflected on all our Fee
Notes except in the case of the provision of export services or
services rendered to certain tax exempt organisations.
